Terms of Use — Your Novella (Haur B.V.)

Haur B.V., registered in the Netherlands (Your Novella, "we", "our"), provides a Platform (as defined below) for writers and publishers to distribute and monetize various literary works (a "Work" or "Works"). These Terms of Use (the "Terms"), together with all documents referred to herein and all other operating rules, policies, and procedures that Your Novella may publish from time to time, govern Your Novella's relationship with users ("users", "you") of the Your Novella platform located at yournovella.com, including all sub-domains and associated websites (collectively, the "Website"), the Your Novella mobile application(s), including iOS and Android applications ("Apps"), any and all other platforms on which content is accessed, published, or distributed, and all associated services, features, or content made available through any of the foregoing ("Services") (together, the "Platform"). The Terms constitute a legally binding agreement between Your Novella and you.

By accessing or using the Platform, you confirm that you unconditionally accept these Terms and agree to fully comply with them. If you do not agree, you must not use the Platform.

The Platform may contain links or embedded material to third-party content that Your Novella has not reviewed (e.g., websites, services). Linking or embedding does not imply endorsement. Your Novella is not responsible for third-party content and disclaims responsibility for its accuracy, availability, or quality.

Your Novella may add to, change, or remove any part of these Terms at any time by posting updated Terms on the Platform. Changes apply upon posting. By continuing to use the Platform after changes are posted, you accept those changes. Your Novella may add, change, discontinue, remove, or suspend any content on the Platform, including Works, at any time without notice or liability.

1. Eligibility

You must be at least 13 years of age to use the Platform. By agreeing to these Terms, you represent and warrant that: (a) you are at least 13; (b) you have not previously been suspended or removed from the Service; and (c) your registration and use of the Platform complies with applicable laws and regulations. If you use the Service on behalf of an entity, you represent and warrant that you have authority to bind that entity and you agree to these Terms on its behalf.

2. License to Users

2.1 Subject to your full compliance with the Terms and to the extent we are lawfully able to grant such rights, Your Novella grants you a non-exclusive, non-sublicensable, and non-transferable license to the Platform's Intellectual Property solely to access Works, use the Platform, and for other purposes expressly stated herein.

2.2 These Terms do not transfer to you any intellectual property rights of us or any third party. All right, title, and interest remain with the applicable owner.

3. Registration and Accounts

3.1 Certain features require a Your Novella account ("Account"). You agree that all information you submit during signup and thereafter is accurate and truthful, and you will keep it updated.

3.2 Your Account is personal to you. You are responsible for maintaining its security and restricting access. You accept responsibility for all purchases and activities under your Account.

3.3 You can delete your Account; upon deletion, you may lose access to all or part of the Platform.

3.4 We may disable, suspend, or terminate your Account at any time in our discretion, including for breach of these Terms.

4. Content Policy

Your Novella hosts content provided by us and by contracted writers subject to a content policy aligned with applicable laws, regulations, and distribution platform requirements. Your use of the Platform is subject to that policy.

5. User Content

5.1 Your Novella welcomes your creations and interactions. Certain features allow users to upload content, including original literary works, suggestions, messages, comments, reviews, photos, videos, images, folders, data, text, and other works ("User Content").

5.2 We do not claim ownership in User Content you upload. All rights not expressly granted to Your Novella remain with you.

5.3 License to Your Novella. By uploading or publishing User Content, you grant Your Novella a worldwide, non-exclusive license (with the right to sublicense to Your Novella affiliates solely to provide the Services) to host, store, transfer, display, perform, reproduce, transmit, broadcast, modify for formatting, and distribute your User Content, in whole or in part, in any media formats only through our Services. If you wish to keep content private, do not upload or share it on the Platform.

5.4 License to other users. By sharing User Content, you grant other users a non-exclusive license to access and use it as permitted by these Terms and the Service's functionality.

5.5 Your representations and warranties. You are solely responsible for your User Content and the consequences of uploading or publishing it. You represent and warrant that:

(a) You own the User Content or have the rights and permissions to grant the licenses above.

(b) Your User Content does not include: (i) lobbying, PACs, political campaigns; (ii) sexually explicit content or pornography; (iii) hate speech or unlawful discrimination; (iv) content harmful to minors; (v) harassment, bullying, defamation, or similar; (vi) advertisements; (vii) content that infringes or violates others' rights; (viii) content that violates applicable laws or distribution guidelines.

(c) Use of your User Content as contemplated here will not infringe or violate others' rights, defame or invade privacy/publicity, violate law, or breach any Your Novella policy or guideline.

5.6 Moderation. User Content may be stored and presented automatically. Unless required by law, Your Novella is not obligated to monitor or edit User Content and is not responsible for it. We may remove or block any User Content at any time without notice if it violates these Terms or is otherwise objectionable. You may encounter content that is inaccurate, offensive, or objectionable. You agree to waive any legal or equitable right or remedy against Your Novella with respect to User Content.

5.7 Reports. If you believe User Content violates these Terms or your rights, you may report it to us. For IP claims, see Section 12. We may investigate and take action at our sole discretion without notice.

6. Restricted User Conduct

6.1 Except where prohibited from restriction by law, you may not: (a) reproduce, distribute, publicly display, or publicly perform the Service; (b) modify the Service; or (c) interfere with or circumvent any security or access-control feature.

6.2 You must not alter or modify the Platform or use bots, spiders, or other automated means to access it, except as authorized by Your Novella.

7. Payment Terms

7.1 Access to the Platform or certain features may require fees. You will see and accept fees before purchase. Unless otherwise stated, fees are non-refundable.

7.2 Your Novella may determine pricing and will make reasonable efforts to keep pricing information current.

7.3 You authorize Your Novella (or its processors, e.g., Apple App Store, Google Play, PayPal) to charge your selected payment method for orders and Services. We may seek pre-authorization for validity and available funds.

7.4 Purchases may be subject to taxes, fees, and exchange-rate differences, calculated based on information you provide.

8. Disclaimers

8.1 The Platform is provided "as is", "as available", and "with all faults." Use is at your own risk.

8.2 We do not guarantee uninterrupted, error-free, or secure operation; you are responsible for protecting your devices and data.

8.3 We do not guarantee availability, delivery, performance, pricing, or punctuality of Works or features.

8.4 We are not responsible for deletion or failure to store any content (including comments). Keep your own backups.

8.5 We are not liable for failures beyond our control (e.g., force majeure, supplier failures, regulatory actions).

9. Limitation of Liability

9.1 To the fullest extent permitted by law, Your Novella shall not be liable for any indirect, special, incidental, consequential, exemplary, or punitive damages related to the Platform or these Terms, regardless of theory and even if advised of the possibility. Your exclusive remedy is to stop using the Platform.

9.2 If a limitation is unenforceable, then in no event will Your Novella's aggregate liability exceed five hundred U.S. dollars (USD $500) (or the equivalent in local currency).

10. Indemnification

You will defend, indemnify, and hold harmless Your Novella and its officers, directors, employees, consultants, affiliates, subsidiaries, and agents from any claim, liability, damage, loss, and expense (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your breach of these Terms or law; (c) your violation of third-party rights; or (d) disputes between you and a third party. We may assume exclusive defense at our expense; you will cooperate.

11. Promotions

Promotions may have specific rules that supplement these Terms. By participating, you agree to those terms. In case of conflict, the Promotion rules control.

12. Infringement of Intellectual Property Rights

12.1 Your Novella respects IP rights. If you believe in good faith that your IP has been infringed on the Platform, email [email protected] with subject "Notice of Infringement", including:

  • Your electronic/physical signature of the IP owner or authorized agent;
  • Description of the work you claim is infringed;
  • Location (URL or in-app path) of the allegedly infringing material;
  • Your email address and mailing address/telephone number;
  • A statement of good-faith belief that the disputed use is not authorized;
  • A statement under penalty of perjury that the notice is accurate and you are the owner or authorized agent.

Counter-Notice. If you believe a notice was submitted in error, send to [email protected]:

  • Your electronic/physical signature;
  • Identification of the material removed or access disabled;
  • A statement under penalty of perjury of good-faith belief that removal/disabling was a mistake or misidentification;
  • Your full name, email, mailing address, and a statement that you consent to the jurisdiction of the courts of Amsterdam, the Netherlands, and will accept service from the complainant or their agent.

We may disclose notices/counter-notices and identities as required or appropriate.

13. Governing Law and Dispute Resolution

13.1 These Terms are governed by the laws of the Netherlands, without regard to conflict-of-law principles.

13.2 Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by the competent courts of Amsterdam, the Netherlands. (If you prefer arbitration, tell us and we can switch this to NAI arbitration.)

All legal notices under these Terms must be in writing and sent by email to [email protected]. By using the Platform, you agree that notices we send electronically satisfy legal communication requirements. Keep your Account contact information current.
